Terms of Service

Agreement to terms

By accessing teamexio.com or contacting us, you agree to these Terms of Service, our Privacy Policy, and our Refund Policy. If you do not agree, please do not use the site.

Our services

TeamExio provides professional web development and related services, including WordPress, Shopify, and custom web applications. Marketing content on this site describes our approach; binding scope, deliverables, timelines, and fees are defined only in a signed proposal, statement of work, or platform contract agreed with you.

TeamExio is an independent business. We are not your employee, agent, or joint venture partner unless a separate written agreement says otherwise. Upwork does not supervise or control how we perform work for you.

Upwork and marketplace engagements

Many clients hire TeamExio through Upwork. If you met us on Upwork or have an active Upwork Relationship with us, the following applies in addition to everything else on this page:

  • Platform terms control – Payment, escrow, milestones, refunds, and disputes are governed by the Upwork User Agreement, applicable Escrow Instructions (for example Fixed-Price or Hourly), and your Upwork Service Contract – not by this website alone.
  • Supplemental only – These Terms of Service, our Refund Policy, and our Privacy Policy are supplemental. They may not conflict with, narrow, or expand Upwork’s rights or obligations under its terms.
  • Payments through Upwork – Unless you complete Upwork’s permitted opt-out process (including any Conversion Fee), you agree to request, make, and receive payments for that relationship through Upwork, as described in Upwork’s Non-Circumvention policy.
  • Communications – Before an Upwork Service Contract is in place, use Upwork messaging as required by Upwork. Do not use this site or direct channels to circumvent Upwork communication or payment rules.
  • Disputes – Client-Freelancer disputes on Upwork contracts must follow the dispute process in the Escrow Instructions that apply to your contract. Upwork is not obligated to provide dispute help beyond that process.

Use of this website

You agree to use the site lawfully and not to:

  • Attempt unauthorized access to our systems, accounts, or data.
  • Introduce malware, scrape the site in a way that impairs performance, or abuse contact forms.
  • Copy, reproduce, or redistribute site content (including text, visuals, and code samples) without our written permission, except for personal reference or sharing links to our pages.
  • Misrepresent your affiliation with TeamExio or use our name or marks without consent.

Intellectual property on this site

Unless stated otherwise, content on this website – including copy, design, logos, and layout – is owned by TeamExio or our licensors and protected by applicable intellectual property laws. Portfolio items may include third-party trademarks belonging to their respective owners.

Inquiries and estimates

Information on pricing pages, calculators, and blog posts is indicative only. Quotes and timelines are not binding until confirmed in writing. We may decline projects that are outside our expertise, capacity, or compliance requirements.

Client projects

For paid work, the following generally applies unless your contract states otherwise:

  • Scope – Deliverables are limited to what is documented in the agreed scope. Changes may require a change order and adjusted fees or timeline.
  • Client responsibilities – You will provide timely feedback, content, credentials, and approvals needed for progress.
  • Third-party costs – Hosting, domains, plugins, stock assets, SaaS tools, and platform fees are your responsibility unless explicitly included in scope.
  • Ownership – Upon full payment for the applicable milestone or project, you receive the rights agreed in your contract to custom work product created for you. Pre-existing tools, libraries, and TeamExio know-how remain ours or their licensors.
  • Warranties – We warrant that services will be performed with reasonable skill and care. Except as stated in your contract, services are provided “as is” where permitted by law.
  • AI-assisted delivery – We may use AI-assisted workflows on projects where disclosed in your contract, proposal, or Upwork profile. Human review applies before client-facing deliverables.

Projects started through Upwork or similar platforms are also subject to those platforms’ terms, including escrow release and dispute windows.

Deliverable approval

We deliver work in phases tied to milestones in your proposal or statement of work. When we share a deliverable for review (for example via staging, preview, or design files), you may approve it in writing or request changes within the revision allowance in your contract.

For direct engagements (not paid through Upwork escrow): if we do not receive written feedback or a change request within 5 business days of delivery, the deliverable is considered approved (silent approval). Approved phases lock the related milestone payment as described in our Refund Policy.

For Upwork Service Contracts, approval, fund release, and disputes follow the applicable Upwork Escrow Instructions and your contract – not the 5-day silent approval rule above.

Confidentiality

We treat non-public business information you share for a project as confidential and use it only to perform the work. You agree not to disclose our confidential methods, unpublished rates, or proprietary tooling without permission.

Limitation of liability

To the fullest extent permitted by law, TeamExio and its team will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data arising from use of the site or services. Our total liability for any claim relating to the site or a project will not exceed the fees you paid us for that project in the twelve months before the claim, or one hundred US dollars if no fees were paid, whichever is greater.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum permitted by law.

Indemnity

You agree to indemnify and hold TeamExio harmless from claims arising out of your misuse of the site, content or materials you supply to us without proper rights, or your breach of these terms, except to the extent caused by our gross negligence or willful misconduct.

Disclaimer

The site and general information we publish are provided for business purposes. We do not guarantee uninterrupted or error-free operation of the site. Blog and case study content reflects our experience at the time of writing and is not legal, financial, or technical advice for your specific situation.

Suspension and termination

We may suspend or terminate access to the site or decline future work if you breach these terms or if required for security or legal reasons. Contracted projects may be terminated under the termination provisions in your project agreement.

Governing law

These terms are governed by the laws applicable to TeamExio’s place of business, without regard to conflict-of-law rules. Disputes will be resolved in the courts of that jurisdiction unless your written contract specifies a different forum.

Changes

We may update these terms from time to time. The date at the top will change when we do. Material changes will be posted on this page. Continued use of the site after updates constitutes acceptance.
